A GmbH share as a specific legacy: managing fulfilment after death

Mag. Bernhard Brandauer, Rechtsanwalt

A GmbH share as a specific legacy: review section 684 ABGB, section 76 GmbHG, the articles and fulfilment after death in the right order.

A GmbH share can be left to a particular person by way of a specific legacy without making that person the heir to the entire estate. Under section 684 of the Austrian General Civil Code, the legatee generally acquires the right to the legacy when the testator dies. Ownership of the bequeathed item is acquired under the rules of the Fifth Main Part of the Code.

Section 76 GmbHG adds that company shares are transferable and inheritable. The wording of the will, the estate administration and the articles of association must therefore be coordinated. This article addresses fulfilment of one specific share and stays separate from general will drafting and lifetime gifts.

What section 684 ABGB provides for a specific legacy

Section 684(1) ABGB generally links acquisition of the right to a legacy to the testator's death. For the named beneficiary, this creates a legal position to receive the bequeathed performance. Subsection 2 refers ownership of the bequeathed item to the rules of the Fifth Main Part on acquisition of ownership.

That distinction matters for a GmbH share. The accrual of the right to the legacy does not by itself answer every question about corporate status, required declarations or a clause in the articles. The right to the legacy and the practical implementation should be recorded separately.

The article on aligning the will and articles of association addresses the broader coordination. This article stays with the narrower issue of fulfilling one bequeathed share after death.

Why section 76 GmbHG must also be reviewed

Under section 76(1) GmbHG, shares are transferable and inheritable. That establishes the basic classification of the interest but does not complete the implementation. The share must be described so that the company and interest concerned can be identified without doubt.

Section 76(2) GmbHG requires a notarial deed for a transfer by a legal transaction between living persons. The same form applies to an agreement obliging a shareholder to assign a share in the future. The articles may also impose additional requirements, including the company's consent. A testamentary gift must therefore not be treated as an informal lifetime promise to transfer.

The article on pledging a GmbH share concerns a different corporate arrangement. A lifetime security arrangement must be kept separate from a specific legacy and its post-death administration.

Identify the share clearly in the will

For the drafting and legal review, record the company, registered seat and specific interest. For a GmbH, the articles and register documents provide the information needed to identify the share and its participation in the company.

The beneficiary should be named with sufficient personal details. A substitute arrangement is useful if the person dies before the testator, rejects the gift or implementation remains impossible for another reason. A general reference to giving a share to a child can create interpretive questions where there is more than one child.

Conditions, charges, dates and any balancing payment belong in the same overall review. Their effect cannot be assessed separately from the articles and the other testamentary dispositions.

Prepare fulfilment after death

After death, the will, the estate documents and the corporate records are brought together. The participants first need to establish which share is meant, who is requesting fulfilment and which declarations are needed for implementation.

The GmbH should not be approached only with an internal family promise. The will, current articles, amendments, register position and communication with the authorised representatives belong in one file. This separates the succession basis from the corporate implementation.

Until these levels are clear, dispositions of the share, distributions and voting should not be attributed prematurely to a particular person. Which rights may already be exercised depends on the specific legal position and stage of fulfilment.

Keep a legacy, heirship and forced-share issues separate

A specific legacy identifies a particular benefit. Appointment as heir concerns succession to the estate or a share of it. Succession planning must keep the two structures separate in both wording and legal effect.

Leaving a company share also does not automatically resolve forced-share claims, other legacies or estate liabilities. Those matters require a separate review of the estate and the family's agreements.

Review of the articles remains necessary even where the family agrees on the desired outcome. Agreement on the result does not identify which declaration is meant to produce which legal effect in the succession process.

Organise implementation and documents for the succession meeting

Bring the will, current register extract, articles and amendments, ownership overview and estate documents to the meeting. Add powers of attorney, declarations already made and previous communication with the GmbH.

A short implementation outline should answer four questions: which share is meant, who is to receive it, which corporate requirement remains open and which declaration or next step is needed? This prevents an unresolved interpretation from being treated as a completed transfer.

If the participants disagree about interpretation, consent or exercise of shareholder rights, secure the positions before further declarations are made. The article on reviewing the articles provides the relevant foundation.

Questions about a GmbH share as a specific legacy

Does the beneficiary automatically become a shareholder when the testator dies?

Section 684 ABGB generally provides that the right to the legacy is acquired when the testator dies. Ownership of the bequeathed item is acquired under the rules of the Fifth Main Part. The will, articles and concrete implementation must therefore be reviewed together for the corporate position.

Can a GmbH share be left by way of a specific legacy?

Section 76(1) GmbHG provides that shares are transferable and inheritable. This supports the basic suitability of a share for succession planning. The precise identification and any additional requirements in the articles still need review.

Does every specific legacy of a GmbH share require a notarial deed?

Section 76(2) GmbHG refers to a notarial deed for a transfer by a legal transaction between living persons and for an agreement to assign a share in the future. A testamentary gift should therefore not be treated prematurely as a lifetime transfer. The form and implementation of the specific case require separate review.
