Enduring power of attorney for business owners: securing continuity in succession

Mag. Bernhard Brandauer, Rechtsanwalt

Enduring power of attorney for business owners: define scope, registration and continuity before a succession takes effect.

A business succession must also work if the owner becomes unable to act before the planned handover. Banks, authorities, employees and contracting parties may still need decisions immediately. An Austrian Vorsorgevollmacht can provide a legal framework for representation during life, but it does not transfer company shares and does not replace a will.

This article separates incapacity planning from the actual succession. The broader succession planning page is the appropriate starting point. The documents for the first succession consultation help structure the scope, roles and existing powers.

01 Question 1

Has the intended scope already been set out in writing?

A family expectation is not the same as a defined authority.

Overview of all answers.

01

Compare the deed, register and company roles.

Check whether the authority covers the necessary bank, authority and contract matters and whether the triggering event can be evidenced.

02

Start with a task and responsibility list.

List current contracts, payments, authorities, employees and advisers before defining the legal scope.

03

Secure the current representation position.

Record who can validly act now. A future succession decision must not be confused with an existing lack of authority.

A power of attorney and succession serve different purposes

An Austrian Vorsorgevollmacht concerns representation during life after the loss of the decision-making capacity required for the entrusted matters. Succession planning concerns future ownership, management and transfer. Both layers must fit together, but they should not be treated as one document.

In a GmbH, shareholder status, managing-director status and authority to act are separate positions. A power of attorney does not make the attorney a shareholder and does not replace a resolution appointing a managing director.

Tailor the scope to the business

A statement that a trusted person should take care of the business is usually too vague. The plan should address banking, contracts, authorities, employees, tax records and communication with advisers. Not every matter needs to be included.

The scope must reflect real workflows. A banking authority does not solve an authority procedure or a lease issue. Conversely, an unnecessarily broad mandate can make oversight and later evidence more difficult.

Prepare execution, registration and evidence

Sections 260, 262 and 263 ABGB provide the relevant Austrian framework for the Vorsorgevollmacht, its personal written execution before an authorised body and its registration in the Austrian Central Representation Register. The triggering event and the scope therefore need documentary clarity.

The handover file should contain a copy of the deed and information about storage, registration and the intended contact persons. Passwords should not be placed in the deed.

Coordinate management, authority and the will

The authority must fit the company organisation. The article on company-register entries and powers of attorney deals with the later external organisation. The articles-of-association review identifies consent requirements and multiple-director structures.

A will deals with death. The Vorsorgevollmacht deals with incapacity. Failing to coordinate both can leave contradictory roles and instructions.

Common mistakes in business-owner planning

Many owners start only after the incapacity has occurred. Then there may be no time for execution, registration or an orderly transfer of records. Another mistake is assuming that a future successor can already act for the GmbH merely because the family has chosen that person.

Revocation also needs coordination. When the trusted person changes, banks, contracting parties and internal staff must know which authority applies from which date.

Questions about an owner’s power of attorney

Does a Vorsorgevollmacht transfer GmbH shares?

No. It governs representation during life in the incapacity situation. Share transfers and corporate succession require separate legal acts.

Must every bank account be listed separately?

The relevant matters must be described clearly. Whether individual accounts or categories are listed depends on the organisation and intended scope.

Does the power of attorney automatically continue after death?

That must not be assumed. The wording, the legal relationship and the succession situation require a specific review.
