Universal succession and tax matters: what passes under section 19 BAO

Mag. Bernhard Brandauer, Rechtsanwalt

Which tax rights and duties pass in universal succession and why section 19 BAO requires the scope of recourse to be assessed under civil law as well.

Section 19(1) of the Austrian Federal Fiscal Code, BAO, provides that the rights and duties arising from tax legislation pass from the legal predecessor to the legal successor in universal succession. The provision refers the scope of recourse to civil law. The tax transition and the civil-law extent of liability therefore have to be assessed together.

The first step is to classify the transaction. An estate, a change of legal entity and the termination of a partnership follow different rules. The transfer of individual assets or rights is not universal succession merely because a business continues under new ownership.

This article addresses the tax entry under section 19 BAO. The article on succession in an OG or KG explains the partnership role. Old debts in a family business transfer follows a different liability question.

01

Identify the universal successor and the civil-law scope.

Secure the legal basis of the transition, the parties involved and the relevant date. Then record the tax proceedings, returns, notices and outstanding duties. The scope of recourse must also be assessed under civil law.

02

Classify the transfer as a separate liability and transition case.

For individual assets, rights or a business purchase, entry under section 19 BAO must not be assumed. Review the specific transaction, the positions transferred and the special rules that govern that transaction separately.

Check the special rule in section 19(2) BAO.

When a partnership without separate legal personality ends, its tax rights and duties pass to the members who were last involved. Section 19(2) BAO also states that the nature and scope of recourse for the partnership's tax debts do not change as a result.

Start with the legal basis, the parties and the transition date.

Collect the agreement or testamentary document, register material, tax notices and communications about the transition. Only when the legal trigger is clear can section 19 BAO be separated from other transition and liability rules.

What section 19 BAO provides for in universal succession

Section 19(1) BAO links the transition to universal succession. Where it exists, rights and duties arising from tax legislation pass from the legal predecessor to the legal successor. The provision therefore places the successor in an existing tax-law position.

The practical review must document the legal transition first. Who was the legal predecessor, who is the legal successor and on what date did the transition occur? These questions determine which tax proceedings, returns, notices and outstanding duties belong in the review.

Section 19 BAO does not replace the assessment of the civil-law transition. It identifies the tax-law connection. The specific scope of recourse is additionally governed by civil law.

Separate universal succession from an individual transfer

Universal succession concerns legal succession to a person or legal entity. A business purchase, the transfer of individual assets or the assignment of individual rights therefore requires a separate assessment of the positions that move. Calling a transaction a business succession does not by itself establish section 19 BAO.

This distinction prevents tax consequences from different transition rules being mixed. A transferred business may raise employment, company-law and tax questions with different conditions. Severance pay and occupational pensions in a business transfer illustrates a separate employment-law level.

An acquisition or legacy of a company share also needs its own classification. The article on transfer restrictions on GmbH shares addresses that company and succession-law situation.

Which tax rights and duties need to be recorded

Section 19 BAO covers rights and duties arising from tax legislation. The file should therefore bring together ongoing proceedings, filed returns, notices, outstanding payments and unresolved information or cooperation issues. The list must reflect the specific legal transition.

A reliable reconciliation connects the tax material with the transition date. Each item should show the person or entity concerned, the relevant period, the procedural status and whether the successor has to respond. This makes open points visible before they disappear in the handover file.

The tax file sits alongside the other succession documents. Company register entries and powers of attorney after the transfer concern representation and external communication. They do not replace the tax review.

The scope is also governed by civil law

Section 19(1) BAO expressly provides that the scope of recourse against the legal successor is governed by civil law. The tax provision establishes the transition, but it does not independently determine the civil-law extent of liability.

In an estate, the legal basis of succession, the allocation to the estate and any limits on liability therefore have to be reconciled with the tax file. Section 19 BAO does not support a blanket statement that every heir is liable for every tax debt in the same way and without limitation.

The advice file should record the tax position and the civil-law liability separately. This keeps visible which duty arises from tax legislation and which limit follows from civil law.

Termination of a partnership under section 19(2) BAO

Section 19(2) BAO addresses a separate situation. When a partnership or association without separate legal personality ends, its rights and duties under tax legislation pass to the members who were last involved.

The provision also states that the nature and scope of recourse against former members for the association's tax debts do not change as a result. The transition to the last members must therefore be distinguished from a new and broader liability.

The review should combine the termination date, the member list, open tax proceedings and the prior legal position. For a GesBR succession, the article on agreement, liability and continuation helps with the company-law classification.

Documents needed for the tax review

The first review should bring the agreement or testamentary document, register and partnership documents, tax notices, returns, payment records and ongoing correspondence into one file. For a partnership, add the termination record and the list of members involved at the end.

Order the material by legal basis, date and tax type. Mark what has been decided, which return is still missing and where the successor is expected to respond. The article on documents for the first succession consultation supports the wider preparation.

Before completion, the successor, transferor and tax advisers should work from the same chronology. This allows the tax entry, civil-law scope and practical communication to be checked against each other.

Frequently asked questions about section 19 BAO

Does section 19 BAO apply to every business transfer?

No. The provision requires universal succession. For individual assets, rights or a business purchase, the specific transition rule must be assessed separately.

Which positions pass under section 19 BAO?

In universal succession, the rights and duties arising from tax legislation pass from the legal predecessor to the legal successor. The tax file and the legal transition determine which items are relevant in the individual case.

Does section 19 BAO create unlimited liability for every heir?

No. Section 19(1) BAO refers the scope of recourse to civil law. The civil-law position and any liability limits therefore require a separate review.

What applies when a partnership ends?

Under section 19(2) BAO, the tax rights and duties pass to the members who were last involved. The nature and scope of recourse for the partnership's tax debts do not change as a result.

Which documents should be collected first?

Start with the legal basis of the transition, the relevant date, the parties, tax notices, returns, payment records and ongoing correspondence. For a partnership, document the termination and the last members as well.
